These Terms of Service ("Terms") govern your access to and use of the Vervato.io platform, including the AI-powered business assistant "Stanley," operated by Vervato Inc. ("Vervato," "we," "our," or "us"). The platform is accessible at www.vervato.io (the "Site") and through associated services (collectively, the "Service").

1. Acceptance of Terms
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a business or entity, you represent that you have the authority to bind that entity to these Terms.
2. Service Access
Subject to your compliance with these Terms, Vervato grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service. This is a subscription to a hosted service, not a license to download or install software. You may not:
- Sublicense, resell, or redistribute access to the Service to any third party
- Attempt to reverse engineer, decompile, or extract the source code of any part of the Service
- Use the Service to develop a competing product or service
- Remove or alter any proprietary notices, labels, or marks on the Service
- Use automated tools (bots, scrapers) to access the Service beyond normal usage, except through our documented APIs
We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms, in accordance with Section 10 (Termination).
3. User Obligations
Vervato and its users share responsibility for the security and proper use of the Service. As a user, you agree to:
Account Security
- Maintain the confidentiality of your Vervato account credentials and any connected service credentials (including Google OAuth tokens)
- Use a strong, unique password for your Vervato account
- Immediately notify us at support@vervato.io if you suspect unauthorized access to your account
- Accept responsibility for all activities that occur under your account, whether or not you authorized them
- Where available, we strongly encourage the use of Multi-Factor Authentication (MFA) or Single Sign-On (SSO) to further secure your Vervato account
Acceptable Use
- You will not use the Service for any unlawful purpose or in violation of any applicable laws
- You will not attempt to gain unauthorized access to other users' accounts or data
- You will not use the Service to send spam, phishing, or other unsolicited communications
- You will review and verify all AI-generated content (including invoices, emails, and financial summaries) before authorizing final actions
Third-Party Integrations
When you connect third-party services (such as Gmail) to the Service, you are responsible for understanding and complying with those third parties' terms of service. You may revoke these connections at any time through the Settings page within the Service or directly from your third-party account settings.
4. Data Ownership and License
Your Data
You retain all rights, title, and interest in and to the data you provide to or connect with the Service, including but not limited to your Gmail messages, invoices, customer records, and business information (collectively, "Your Data"). Vervato does not claim ownership of Your Data.
Limited Processing License
By using the Service, you grant Vervato a limited, non-exclusive, revocable license to access, process, and transmit Your Data solely for the purpose of providing and improving the Service as requested by you. This license terminates when you delete your account or disconnect the relevant integration, subject to the data retention timelines described in our Privacy Policy.
Google API Data
Data received from Google APIs is subject to additional restrictions. In accordance with the Google API Services User Data Policy, including the Limited Use requirements, Vervato will not use your Google data for advertising, will not sell it to third parties, will not use it to train general-purpose AI models, and will not allow humans to read it except under the narrow circumstances described in our Privacy Policy (Section 4).
Vervato Intellectual Property
The Service, including its design, features, AI models, and underlying technology, is the intellectual property of Vervato. Nothing in these Terms transfers any Vervato intellectual property rights to you.
5. AI Services and Automated Actions
Vervato provides an AI-driven business assistant ("Stanley") that utilizes Large Language Models (LLMs) provided by third-party sub-processors (including, but not limited to, OpenAI and Google). By using the Service, you acknowledge and agree to the following:
Data Processing
To provide the Service, Stanley must process data from your connected accounts (e.g., email, calendar, and business software). This data is transmitted to our AI sub-processors for analysis. We do not use your sensitive business data to train foundational models. See our Privacy Policy (Section 2, "AI Model Training Boundaries") for full details.
Security & Encryption
Vervato employs enterprise-grade security, including field-level encryption for sensitive user "memories" and preferences. We utilize a "fail-closed" architecture to prevent the storage of unencrypted sensitive data in the event of a security system failure.
Automated Actions & Human-in-the-Loop
While Stanley can draft invoices, send emails, and manage schedules, the Service is designed with "Confirmation Boundaries." You are responsible for reviewing all AI-generated drafts (including invoice totals, recipients, and service descriptions) before authorizing a final action. Vervato is not liable for financial discrepancies or communication errors resulting from actions you have explicitly confirmed.
Data Minimization
We utilize automated scrubbing technology to redact Sensitive Personally Identifiable Information (PII) from logs and AI prompts where such information is not essential to the requested task.
AI Limitations
AI-generated responses may contain inaccuracies. The Service is a tool to assist your business operations, not a substitute for professional judgment. You should not rely solely on AI-generated content for financial, legal, or other critical business decisions.
6. Service Availability and Safety Systems
Availability
Vervato strives to maintain high availability of the Service but does not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide reasonable advance notice when possible)
- Unscheduled outages affecting our infrastructure providers (Vercel, Supabase)
- Third-party API outages (Google, OpenAI) that affect dependent features
- Automated safety systems, as described below
Circuit Breaker Safety Systems
The Service employs automated "circuit breaker" safety mechanisms that temporarily disable specific features (such as Gmail access or AI processing) when repeated errors are detected from a third-party service. These safety pauses are designed to protect your data and prevent cascading failures. Circuit breakers automatically re-enable the affected feature after a cooldown period once the underlying issue is resolved.
Vervato is not liable for any loss of functionality or business impact during these automated safety pauses or third-party service outages.
7. Privacy Policy
Your privacy is important to us. Our Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy, including the Google API Services Limited Use requirements and data retention timelines specified therein.
8. Disclaimer
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VERVATO MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, AND HEREBY DISCLAIMS ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Vervato does not warrant that: (a) the Service will meet your specific requirements, (b) the Service will be uninterrupted, timely, or error-free, (c) the results obtained from the Service (including AI-generated content) will be accurate or reliable, or (d) any errors in the Service will be corrected.
9. Limitations of Liability
IN NO EVENT SHALL VERVATO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, PROFIT, OR BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICE, EVEN IF VERVATO HAS BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGE.
This limitation applies to damages arising from: (a) AI-generated content that is inaccurate or incomplete, (b) temporary service unavailability due to circuit breaker safety triggers or third-party outages, (c) unauthorized access to your account resulting from your failure to maintain credential security, or (d) any other matter relating to the Service.
Because some jurisdictions do not allow limitations on implied warranties or limitations of liability for consequential or incidental damages, these limitations may not apply to you. In such jurisdictions, Vervato's liability shall be limited to the greatest extent permitted by law.
10. Termination and Data Purge
Termination by You
You may terminate your account at any time by contacting us at support@vervato.io or through the account settings in the Service. Upon termination, your right to access the Service ceases immediately.
Termination by Vervato
Vervato may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law. We will provide reasonable notice before termination where practicable, except in cases of egregious violations.
Data Purge Upon Termination
Upon account termination, your data will be deleted in accordance with the timelines specified in our Privacy Policy (Section 6, "Data Retention and Disposal"):
- Gmail OAuth tokens are deleted immediately upon disconnection
- Account data and encrypted AI memories are deleted within 30 days
- System backups containing your data are purged within 90 days
Sections that by their nature should survive termination will remain in effect, including Sections 4 (Data Ownership), 8 (Disclaimer), 9 (Limitations of Liability), and 14 (Governing Law).
11. Revisions and Errata
The materials appearing on the Service could include technical, typographical, or photographic errors. Vervato does not warrant that any of the materials on the Service are accurate, complete, or current. Vervato may make changes to the materials contained on the Service at any time without notice.
12. Links
Vervato has not reviewed all of the sites linked to our Service and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Vervato of the site. Use of any such linked website is at the user's own risk.
13. Modifications to Terms
Vervato may revise these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the effective date of the changes. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. You irrevocably submit to the exclusive jurisdiction of the courts located in Texas for the resolution of any disputes arising out of or relating to these Terms or the Service.
